1. DEFINITIONS

“Platform” means the Printsyde website, mobile apps, and related services.

“Artist” means any individual or entity that registers to upload designs.

“Seller” means any Artist or other approved individual or entity that lists, markets, or sells Products.

“Buyer” means any person or entity that places an Order.

“User” includes Artists, Sellers, and Buyers.

“Fulfillment Partner” means third-party manufacturers (e.g., Merchize, ShineOn).

“Product” means any print-on-demand item sold on the Platform.

“Order” means Buyer’s confirmed purchase request.

“Content” means all materials uploaded by Artists or Sellers.

“Commission” means the revenue share paid to Artists or Sellers after deductions.

“Intellectual Property Rights” means patents, copyrights, trademarks, trade secrets, and other proprietary rights.

2. ACCEPTANCE AND ELIGIBILITY

2.1 Age and Capacity

Users must be at least 18 years old and able to enter binding contracts.

2.2 Account Registration

Artists, Sellers, and Buyers must register with accurate information and protect their credentials.

2.3 Enhanced Identity Verification

Sellers must maintain current:

  1. Government-issued photo ID
  2. Tax docs (W-9 or W-8)
  3. Bank verification
  4. Proof of address (<90 days old)
  5. Phone verification via SMS
  6. Email verification
  7. Business registration (if applicable)

2.4 Enhanced Verification Triggers

Additional docs required for:

  1. Monthly sales > $5,000 USD
  2. 100 Products listed
  3. Any IP complaint
  4. Unusual transaction patterns
  5. Payment processor risk flags

Failure to comply within 7 days results in account suspension.

2.5 Security and Notifications

Notify [email protected] immediately of unauthorized access.

3. PLATFORM SERVICES AND OPERATIONS

3.1 Services Provided

  1. Technology for product creation and listing
  2. Order processing and payments
  3. Marketing via search and social channels
  4. Fulfillment coordination
  5. Customer support
  6. Commission-based revenue sharing

3.2 Role and Disclaimers

Printsyde is a neutral facilitator, not a transaction party, product maker, or sales guarantor.

3.3 Service Modifications

We may modify, suspend, or discontinue Platform features and remove violative Content.

4. ARTIST AND SELLER OBLIGATIONS

4.1 Content Compliance

Content must be original or properly licensed, lawful, and meet guidelines.

4.2 Prohibited Content

Strictly forbidden: IP violations, hate speech, adult content, illegal or defamatory materials.

4.3 Graduated Enforcement System

First Violation:

  1. Written warning and evidence summary.
  2. Mandatory IP compliance training within 7 days.
  3. 7-day probationary monitoring.

Second Violation:

  1. 30-day account suspension.
  2. 25% commission surcharge for 90 days after reinstatement.
  3. All pending commissions held during investigation.
  4. Mandatory re-verification of identity documents.

Third Violation:

  1. Permanent account termination.
  2. Forfeiture of all pending commissions pursuant to Section 10 (Payment Holds and Indemnification Enforcement).
  3. Removal of all Content.
  4. Cost recovery and offsets pursuant to Section 10.

Severe Violations (major brands or willful infringement):

  1. Immediate termination without warning.
  2. Pursuit of legal action for damages.
  3. Notification of relevant authorities.

Any commission surcharges or payout holds applied under this Section will be disclosed to the Seller by email and/or in the Seller dashboard

4.4 Ongoing Compliance

Maintain accurate info, monitor Content, cooperate with reviews, respond within 48 hours.

5. SHIPPING AND DELIVERY

5.1 Shipping Coverage

We currently ship within the continental United States only. Hawaii, Alaska, and U.S. territories are not serviced. International shipping may be available in the future.

5.2 Delivery Timeframes

Total delivery time is 6–15 business days from order placement to delivery. Regional variations may apply:

  1. West Coast: shortest transit times due to proximity to production centers
  2. Mountain States: winter weather may add 1–2 days delay (November–March)
  3. East Coast: peak seasons may add 3–5 days delay

Important: All timeframes are estimates based on normal conditions and may vary due to carrier performance, weather, peak periods, or other factors outside our control.

5.3 Shipping Costs

  1. First item: $5.95
  2. Each additional item: + $3.95
  3. Free standard shipping on orders over $150

5.4 Shipping Responsibility

We retain responsibility until delivery confirmation. If packages are lost or damaged in transit, we will provide replacement or refund at no additional cost. We handle all carrier claims and investigations on your behalf. Our logistics partners include USPS and DHL.

5.5 Delivery Confirmation

Delivery is complete when the carrier delivers to the provided address. For high-value orders, signature confirmation may be required.

5.6 Customer Responsibilities

  1. Provide an accurate shipping address within the continental U.S.
  2. Be available to receive packages or arrange a safe delivery location
  3. Report shipping problems promptly
  4. Inspect packages on arrival and report any damage immediately

6. RETURNS, EXCHANGES & REFUNDS

6.1 Return Window

We accept returns and exchanges on new, unused, unwashed items within 30 days of delivery.

6.2 Eligibility & Conditions

  1. Non-defective returns/exchanges (e.g., change of mind, wrong size, wrong color): Item must be in original condition—unworn, with original tags and packaging intact.
  2. Defective or incorrect items: Contact us within 30 days. We will provide a replacement or full refund and cover all return shipping costs.

6.3 Return Shipping & Coverage Area

  1. Continental United States: We provide prepaid return shipping labels at no cost.
  2. Geographic Coverage: Continental United States only. Hawaii, Alaska, and U.S. territories are not currently serviced.

6.4 Return Process

  1. Email [email protected] with your order number and reason (return, exchange, or refund).
  2. For continental U.S. customers, download and print your prepaid return label.
  3. Ship the item back within 7 business days of label printing.
  4. After receiving and inspecting your return, we will process your refund or exchange within 5 business days and send a confirmation email.

6.5 Exceptions & Final Sale Items

The following items are not eligible for returns or exchanges:

  1. Customized or personalized items
  2. Final sale or clearance items

6.6 Exchanges

To exchange for a different size or print, indicate your request when returning. We will ship the replacement free of charge within the continental U.S. once your original item is processed.

6.7 Refund Processing

Once we receive and inspect your return, we will issue a refund within 5 business days to your original payment method. You will receive an email confirmation when the refund is completed.

7. INTELLECTUAL PROPERTY & DMCA

7.1 DMCA Safe Harbor Procedures

Printsyde complies with the Digital Millennium Copyright Act (17 U.S.C. § 512) and maintains active registration with the U.S. Copyright Office as its designated agent for receipt of copyright infringement notices. The registration details are publicly available through the Copyright Office directory and on the Platform.

Upon receipt of a valid DMCA notice containing all statutory elements required under 17 U.S.C. § 512(c)(3), Printsyde shall expeditiously remove or disable access to the identified material within twenty-four (24) hours.

An affected Seller may submit a counter-notification pursuant to 17 U.S.C. § 512(g). Printsyde will expeditiously forward any valid counter-notification to the original complainant. Unless the complainant notifies Printsyde that it has filed an action seeking a court order to restrain the Seller, Printsyde will restore the material between ten (10) and fourteen (14) business days after forwarding the counter-notification.

Printsyde enforces a repeat-infringer policy consistent with 17 U.S.C. § 512(i), consisting of:

(a) First violation – written warning and mandatory intellectual-property compliance training;

(b) Second violation – thirty-day (30) account suspension with pending funds held; and

(c) Third violation – permanent account termination with forfeiture of pending proceeds.

7.2 Complaint Verification and Abuse Prevention

All intellectual-property complaints must include the seven statutory elements required by 17 U.S.C. § 512(c)(3). Incomplete notices shall be deemed deficient and the complainant notified within forty-eight (48) hours with instructions for correction.

Printsyde monitors all complaints to identify patterns of incomplete or abusive submissions and may require additional verification from repeat offenders. Educational materials and template forms are provided to facilitate submission of valid notices.

Printsyde does not charge any fee for the filing or processing of intellectual-property complaints. All procedures adhere to 17 U.S.C. § 512(f) anti-retaliation provisions and applicable payment-processor fairness standards.

7.3 Platform Response

All valid intellectual-property complaints shall be acknowledged within forty-eight (48) hours of receipt and assigned a unique tracking reference. Printsyde shall:

(a) Verify notice completeness and log all details in its compliance system;

(b) Remove or disable access to infringing material within twenty-four (24) hours;

(c) Notify the Seller of the complaint and provide counter-notification instructions; and

(d) Confirm resolution to the complainant upon completion of all actions.

Printsyde preserves all records, including timestamps, correspondence, and evidence of actions taken, to maintain defensible documentation for payment-processor audits and potential legal proceedings.

8. ORDERS, PRICING & PAYMENTS

8.1 Order Processing

Orders accepted upon confirmation and payment verification.

8.2 Pricing

All USD; excludes shipping, taxes, and cross-border fees.

8.3 Payment Methods

PayPal and approved processors; subject to their terms.

8.4 Payment Processor Compliance & Coordination

Platform uses third-party payment processors subject to their terms. Sellers acknowledge:

  1. Payout holds or rolling reserves per processor risk requirements.
  2. Chargebacks, refunds, and disputes are Seller’s responsibility; fees automatically deducted from earnings.
  3. Comprehensive metrics tracking required:
  4. Monthly takedown response times.
  5. IP complaint rates.
  6. Chargeback ratios.
  7. Processor inquiry outcomes.
  8. Quarterly compliance reports provided to payment processors, including metrics above.
  9. Suspension of payouts if processor flags risk.
  10. Cooperation with processor audits and inquiries.

9. COMMISSIONS & RISK PRICING

Printsyde sets commission rates in proprietary tiers and may adjust them at any time. Your exact rate depends on multiple factors—seller history, product category, order volume, and compliance performance—and is displayed in your dashboard. Commission rates generally fall within the following ranges (before any surcharges or adjustments):

  1. Standard Sellers: 15% – 25% of the retail price
  2. New Sellers (first 90 days): 20% – 30%

9.1 Proprietary Adjustments

Printsyde applies additional adjustments based on risk and compliance factors. These may include, but are not limited to:

  1. IP enforcement costs
  2. Chargeback and refund history
  3. Payment processor risk assessments
  4. Regulatory and compliance expenses

9.2 Confidentiality of Commission Terms

Commission tiers and adjustment criteria are proprietary. Printsyde does not publicly disclose exact calculation formulas or weightings to preserve competitive margins and accommodate dynamic cost variables. Your dashboard always shows your current effective rate and any active surcharges or holds.

9.3 Payment of Commissions

Commissions are calculated on the product’s retail price (excluding shipping and taxes), net of any returns, refunds, or chargebacks. Payouts are made monthly via PayPal, subject to minimum thresholds and processor reserve requirements.

10. PAYMENT HOLDS AND INDEMNIFICATION ENFORCEMENT

10.1 Purpose

To reduce financial risk and maintain compliance with payment-processor requirements, Printsyde may temporarily hold or delay Seller payouts to cover potential losses arising from intellectual-property complaints, chargebacks, refunds, or other violations of these Terms.

Holds or reserves may also be applied to cover potential liabilities arising from valid copyright or trademark complaints processed under Section 7 (Intellectual Property and DMCA Compliance).

10.2 Standard Reserve

Printsyde may withhold between five percent (5%) and fifteen percent (15%) of each completed transaction for a period of up to ninety (90) days.

The reserve may be used to cover, without limitation:

(a) chargebacks and payment disputes;

(b) refund obligations;

(c) costs from verified intellectual-property infringement claims; and

(d) legal or administrative expenses connected to Seller activity.

Funds held in reserve are released once the applicable period ends and no open claims, disputes, or investigations remain.

10.3 Additional Holds for Higher-Risk Accounts

Printsyde may apply higher reserve percentages or extend holding periods (up to twenty-five percent (25%) and one-hundred-eighty (180) days) where risk indicators exist, including:

(a) limited or no sales history;

(b) prior infringement warnings or account strikes;

(c) chargeback rate above one percent (1%); or

(d) unusually high customer-complaint activity.

Sellers will be notified by email when such measures are applied and again when they are lifted.

10.4 Account-Level Holds and Forfeitures

(a) Temporary Holds. Printsyde may delay payouts during investigation of potential fraud, infringement, or policy breaches for up to one-hundred-eighty (180) days or the period permitted by the payment-processor.

(b) Permanent Holds. If a Seller’s account is terminated for repeat infringement or serious violation of these Terms, any unpaid proceeds may be used to satisfy outstanding obligations such as refunds, chargebacks, or indemnification costs.

10.5 Offset Rights

Printsyde may deduct, without prior notice, any amounts owed by a Seller to the Platform from funds otherwise payable to that Seller, including amounts related to:

(a) chargebacks or refund deficits;

(b) legal fees or settlement costs;

(c) penalties under these Terms; and

(d) indemnification obligations under Section 11.

A summary of any deduction will be provided within ten (10) business days of the offset.

10.6 Scope and Limitations

These hold and reserve measures apply only to funds generated through sales on the Printsyde Platform.

Printsyde does not claim or control any Seller’s personal assets, bank accounts, or income from sources outside the Platform.

All actions are taken in accordance with payment-processor policies and applicable consumer-protection laws.

10.7 Transparency

Printsyde will provide written notice whenever a hold, reserve, or offset is applied.

Upon reasonable request, Sellers may obtain a summary of their withheld amounts, estimated release dates, and reasons for the hold.

10.8 Legal Framework

This Article shall be interpreted consistently with the PayPal User Agreement and other payment-processor terms governing reserves, holds, and offsets, as well as applicable commercial-law principles concerning funds transfers and indemnification.

11. COMPREHENSIVE INDEMNIFICATION

11.1 Indemnification Obligations

Seller shall indemnify, defend, and hold harmless Printsyde, its affiliates, and each of their respective officers, directors, employees, agents, partners, processors, and providers (collectively, “Indemnitees”) from and against all losses, liabilities, damages, judgments, fines, penalties, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to:

(a) any Seller Content or products created, uploaded, listed, or otherwise made available by Seller;

(b) any actual or alleged infringement of intellectual-property rights (including copyright, trademark, patent, or trade secret) by Seller or Seller Content;

(c) Seller’s violation of any applicable law, rule, or regulation;

(d) any claim of product liability relating to Seller’s goods;

(e) Seller’s breach of this Agreement or any third-party agreement applicable to its activities; and

(f) any fraudulent, negligent, or intentional misconduct of Seller.

These obligations extend to any inquiries or investigations initiated by payment processors, card networks, or regulatory authorities arising from Seller activity.

Notwithstanding the foregoing, Seller shall have no obligation to indemnify any Indemnitee for claims or expenses arising solely from that Indemnitee’s gross negligence, willful misconduct, fraud, or violation of law.

11.2 Defense Control

Printsyde shall have the sole right to select counsel, direct the defense and control the strategy for any claim subject to indemnification hereunder. Seller shall cooperate fully with Printsyde in such defense and shall not settle or compromise any claim without Printsyde’s prior written consent.

11.3 Payment of Defense Costs

Seller shall reimburse Printsyde for all costs and expenses incurred in defending any indemnifiable claim within thirty (30) days after receiving written demand. Printsyde may, in its discretion, deduct such amounts from any funds held on behalf of Seller, including rolling reserves established pursuant to Section 10, but shall not rely on any UCC filing or security interest to effect reimbursement.

11.4 Survival

The provisions of this Section 11 shall survive termination of this Agreement or Seller’s account for the period necessary to resolve any claim or obligation arising prior to such termination.

12. LIMITATION OF LIABILITY

12.1 Liability Cap

Platform’s aggregate liability ≤ lesser of (a) Seller’s 30-day commissions or (b) $50 USD.

12.2 Exclusions

No liability for indirect, incidental, consequential, punitive damages; lost profits; data loss; substitute costs; third-party claims; personal injury or emotional distress.

12.3 Application

Applies regardless of legal theory, even if advised of possible damages or remedy failure.

13. GOVERNING LAW & DISPUTE RESOLUTION

13.1 Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.

13.2 Jurisdiction & Exclusive Venue

All disputes arising from or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Singapore.

13.3 Binding Arbitration

Alternatively, at Printsyde’s election, any dispute may be resolved by final and binding arbitration administered by the Singapore International Arbitration Centre (SIAC) under its Rules. Arbitration hearings shall be held in Singapore or conducted online, in the English language, before a sole arbitrator with expertise in commercial and intellectual property matters.

13.4 Injunctive Relief Carve-Out for U.S. IP Rights

Notwithstanding Sections 13.2 and 13.3, Printsyde may seek injunctive or equitable relief in any U.S. federal or state court of competent jurisdiction to prevent or enjoin actual or threatened infringement of intellectual property rights, breach of confidentiality, or security threats, without posting bond or security.

13.5 Consumer Protection

Nothing in these Terms shall limit any mandatory rights you may have under Singapore’s Consumer Protection (Fair Trading) Act or under applicable consumer protection laws in your jurisdiction.

13.6 Class Action & Jury Trial Waiver

To the maximum extent permitted by law, you and Printsyde each waive any right to a trial by jury and to participate in any class, collective, or representative proceeding in any dispute arising under these Terms. Disputes must be brought individually.

13.7 Cost Allocation & Attorneys’ Fees

Each party shall bear its own costs of arbitration or court proceedings ulnless otherwise ordered by the arbitrator or court. In IP or confidentiality disputes, the prevailing party shall be entitled to recover reasonable attorneys’ fees and costs

14. GENERAL PROVISIONS

  1. Entire agreement supersedes prior understandings.
  2. Severability preserves remaining provisions if any invalid.
  3. No waiver by non-enforcement.
  4. Users may not assign; Platform may assign freely.
  5. Force majeure waives liability for uncontrollable events.
  6. Sellers are independent contractors.
  7. Electronic communications satisfy legal writing requirements.
